These terms are an agreement between you and Lloyd IT Limited ("we", "us", "our") and govern your use of Taxiway (the "Service"). By creating an account or using the Service you agree to these terms. Please read them carefully. Our billing is designed to be fair: you can cancel any time and we're lenient with refunds.
1. The Service
Taxiway lets you deploy and run applications on servers you own: push to deploy from GitHub with logs, metrics and managed databases. We provide the Service on the terms set out here. We may add, change or remove features over time to improve it.
2. Eligibility and your account
You must be at least 18 and able to enter into a contract. You are responsible for the accuracy of your account details, for keeping your credentials secure, and for all activity that happens under your account. Tell us promptly at [email protected] if you suspect any unauthorised use.
3. Beta service
The Service is currently offered in beta. This means it may change, and features may occasionally be incomplete or unavailable. We provide the beta on a reasonable-efforts basis and appreciate your patience and feedback as we improve it.
4. Subscriptions and payment
Paid plans are billed on a recurring subscription basis (monthly or annually, as you choose). Payments are processed securely by Stripe using Stripe-managed payments; by subscribing you also agree to Stripe's terms. Prices are shown at checkout and are stated exclusive of VAT unless otherwise indicated; applicable taxes will be added where required.
- Your subscription renews automatically at the end of each billing period until you cancel.
- We may change our prices, but we'll give you reasonable advance notice, and changes won't affect the period you've already paid for.
- If a payment fails, we may retry it and may suspend paid features until the balance is settled.
5. Cancellation
You can cancel at any time, with no cancellation fees, from your account billing settings or by emailing us. When you cancel, your subscription stays active until the end of the period you've already paid for, after which it will not renew. You won't lose access to your own servers or data. They're yours.
6. Refunds
We keep refunds simple and generous. If you're not happy, just ask and we'll sort out a refund. There's no need to give a reason. If you cancel and feel a recent charge wasn't fair, contact us at [email protected] and we'll make it right, typically by refunding your most recent payment. Refunds are issued to your original payment method via Stripe. This policy is in addition to any statutory rights you have under UK consumer law.
7. Acceptable use
You agree not to use the Service to:
- break the law or infringe anyone's rights;
- host or distribute malware, or attack or disrupt others' systems;
- send spam or unlawful, abusive or infringing content;
- attempt to gain unauthorised access to, or disrupt, the Service or its infrastructure; or
- resell or misrepresent the Service.
We may suspend or terminate accounts that breach this section, especially where there is a risk to others or to the Service.
8. Your content and data
You retain all ownership of your applications, code and data. You grant us the limited permissions we need to operate the Service for you: to build, deploy, run and monitor your services. You are responsible for your content, for having the rights to use it, and for backing up anything important. How we handle data is set out in our Privacy Policy and Data Policy.
9. Intellectual property
The Service, including its software, branding and design, belongs to us and our licensors. These terms don't transfer any of our intellectual property to you beyond the right to use the Service as intended.
10. Third-party services
The Service connects to third parties such as GitHub, your hosting providers and Stripe. Your use of those services is governed by their own terms, and we are not responsible for them.
11. Availability
We work hard to keep the Service available but do not guarantee it will be uninterrupted or error-free, particularly during beta. We may carry out maintenance, and may modify or discontinue parts of the Service, giving notice where reasonable.
12. Warranties and liability
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we exclude all implied warranties. Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited under law.
Subject to that, we are not liable for loss of profits, revenue, data or business, or for indirect or consequential loss; and our total liability to you in any 12-month period is limited to the greater of the amount you paid us in that period or £100. You are responsible for backing up your own data.
13. Indemnity
You agree to indemnify us against claims, losses and costs arising from your breach of these terms or your misuse of the Service.
14. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends, but any terms which by their nature should survive (such as payment, liability and IP) will continue.
15. Changes to these terms
We may update these terms from time to time. When we make material changes we will update the "last updated" date above and notify you where appropriate. Continuing to use the Service after changes take effect means you accept the updated terms.
16. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that if you are a consumer you may benefit from any mandatory protections of the country where you live.
